Welcome to NightShiftIQ. These Terms of Service ("Terms") govern your access to and use of the nightshiftiq.com website and the services provided by NightShiftIQ LLC ("NightShiftIQ," "we," "us," or "our"). By using our website or services, you agree to these Terms.
Services
NightShiftIQ provides custom AI chatbot design, development, hosting, and maintenance services for businesses. The specific scope of services, deliverables, and fees for each client engagement will be set out in a separate order form, statement of work, or written agreement.
Accounts & Eligibility
Our services are intended for businesses and individuals aged 18 or older. By using our services, you represent that you meet these requirements and that any information you provide is accurate.
Fees & Payment
Our current pricing is posted on our website and may include a one-time setup fee and recurring monthly subscription fees. Setup fees are due before work begins. Monthly fees are billed in advance and are non-refundable. Fees are exclusive of applicable taxes, which are the client's responsibility.
We may change our pricing at any time. Existing clients will be given at least 30 days' notice of any price increase affecting their subscription.
Cancellation
Clients may cancel their monthly subscription at any time by emailing sales@nightshiftiq.com. Cancellation takes effect at the end of the current billing period. We do not offer refunds for partial months or unused services.
Client Content & License
Clients retain ownership of all content they provide to us for use in building their chatbot (including FAQ pages, policies, branding, and other materials). By providing this content, the client grants NightShiftIQ a non-exclusive license to use, process, and display the content solely for the purpose of delivering the contracted services.
Clients are responsible for ensuring they have the right to share any content they provide with us.
Acceptable Use
You may not use our services to:
- Violate any applicable law or regulation
- Infringe the intellectual property rights of others
- Transmit harmful, harassing, or misleading content
- Attempt to reverse engineer or disrupt our systems
- Build competing products using our services
Intellectual Property
All software, code, designs, and documentation created by NightShiftIQ (excluding client-provided content) remain the intellectual property of NightShiftIQ. Clients receive a license to use the chatbot and related deliverables for their business purposes for the duration of their subscription.
Disclaimers
Our services are provided "as is" and "as available." We make no warranties, express or implied, about the accuracy, reliability, or availability of our services. AI-generated responses may contain errors, and clients are responsible for reviewing chatbot output before relying on it for business decisions.
Limitation of Liability
To the maximum extent permitted by law, NightShiftIQ shall not be liable for any indirect, incidental, consequential, or punitive damages arising out of or related to your use of our services. Our total liability for any claim shall not exceed the amount you paid us in the six months preceding the claim.
Indemnification
You agree to indemnify and hold NightShiftIQ harmless from any claims, damages, or expenses arising out of your use of our services, your content, or your violation of these Terms.
Governing Law
These Terms are governed by the laws of the State of New Jersey, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in New Jersey.
Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated via email or a notice on our website. Continued use of our services after changes take effect constitutes acceptance of the updated Terms.
